These Terms of Service ("Terms") govern your access to and use of the Practly platform and services provided by Practly FZCO ("Practly", "we", "us", or "our"). By creating an account or using our services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use Practly. By using our services, you represent that you meet these requirements.

2. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

3. Subscription Plans and Billing

Practly offers Free, Growth ($39/month), and Pro ($79/month) subscription plans. Paid plans include a 14-day free trial. You will not be charged during the trial period.

After the trial, your chosen plan will be billed monthly. Payments are processed securely by Paddle. By subscribing to a paid plan, you authorise Paddle to charge your payment method on a recurring monthly basis until you cancel.

We reserve the right to change pricing with 30 days' notice to existing subscribers.

4. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the period ends. We do not prorate refunds for partial months unless required by our Refund Policy.

5. Acceptable Use

You agree to use Practly only for lawful purposes. You must not:

• Use the platform to store or transmit illegal content
• Attempt to gain unauthorised access to other accounts or our systems
• Reverse engineer or copy any part of the platform
• Use automated tools to scrape or extract data from the platform
• Resell or sublicense access to the platform without our written consent

6. Your Data and Client Data

You retain ownership of all data you input into Practly, including your clients' information. By using Practly, you grant us a limited licence to process this data solely to provide our services to you.

You are responsible for ensuring that you have obtained all necessary consents from your clients to collect and process their personal information through the platform. You agree to use client data in compliance with applicable privacy laws.

7. AI Features

The AI pre-session brief feature (Pro plan) uses client session data to generate summaries. You acknowledge that AI-generated content may not always be accurate and should be reviewed before use. Practly does not guarantee the accuracy or completeness of AI-generated content.

8. Intellectual Property

Practly and its original content, features, and functionality are owned by Practly FZCO and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the platform without our express written consent.

9. Disclaimer of Warranties

Practly is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or completely secure. We are not responsible for any loss of data.

10. Limitation of Liability

To the fullest extent permitted by law, Practly FZCO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability to you for any claim shall not exceed the amount you paid us in the three months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the platform ceases immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the emirate of Ras Al Khaimah. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ras Al Khaimah.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email. Your continued use of Practly after changes take effect constitutes your acceptance of the new Terms.
